1. About these terms

These terms govern your organisation’s use of the sme+ platform and the product modules within it — hire+, operations+, technical+, it+, legals+ and commercial+. They form part of the agreement between you and sme+, alongside the order form or written quotation your team signed.

2. Who can use sme+

sme+ is sold to organisations, not consumers. The person accepting these terms confirms they are authorised to do so on behalf of the organisation named on the order form, and that they are at least 18 years old.

3. Accounts and access

Access to sme+ is provisioned by us or by an administrator in your organisation. You are responsible for keeping credentials secure, for the activity of accounts issued to your people, and for telling us promptly if you believe an account has been compromised.

4. Your data

You keep ownership of everything you put into the platform — records, documents, evidence, job data and reporting. We process it to run the service for you, to provide support when you ask for it, and to meet our legal obligations. We do not sell it and we do not use it to train models for other customers.

5. Acceptable use

You agree not to use sme+ to store unlawful content, to attempt to access another organisation’s data, to probe or load-test the platform without written agreement, or to resell access without a partner agreement in place.

6. Availability and support

We aim to keep sme+ available at all times and publish planned maintenance in advance. Response targets, uptime commitments and escalation routes are set out in the service schedule attached to your order form.

7. Fees

Fees, billing frequency and the modules included are set out on your order form. Unless agreed otherwise, invoices are issued annually in advance and payable within 30 days. Prices are quoted in pounds sterling and exclude VAT.

8. Changes to the platform

We release improvements continuously and record them in the changelog. We will not remove a material capability you rely on without reasonable notice and a migration route.

9. Confidentiality

Each party agrees to keep the other’s confidential information private and to use it only to fulfil this agreement. That obligation continues after the agreement ends.

10. Term and termination

The agreement runs for the term on your order form and renews unless either party gives notice. If you terminate, we will make an export of your data available for 30 days after the end of the term.

11. Liability

Neither party excludes liability where it cannot lawfully do so. Subject to that, our total liability in any twelve-month period is limited to the fees paid in that period, and neither party is liable for indirect or consequential loss.

12. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

13. Contact

Questions about these terms can be sent to legal@smeplus.co.uk, or raised with your account team.
